These Terms of Service (“Terms”) govern your access to and use of Cortex (the “Service”), operated by Verdeshell Technologies Pvt Ltd through its subsidiary Pleisys. By creating an account or otherwise using the Service, you agree to these Terms on behalf of yourself and the entity you represent (the “Customer” or “Tenant”).
1. The Service
Cortex is a multi-tenant software-as-a-service platform that lets Customers configure and run a panel of AI agents grounded in the Customer’s own context library. The Service includes chat, multi-agent synthesis, memos, audit logs, role-based access, and billing capabilities.
2. Accounts
You are responsible for safeguarding your account credentials. Cortex enforces Argon2id password hashing and rotating refresh tokens with family reuse detection; TOTP-based multi-factor authentication is planned but not yet available (see /security). The Customer must still maintain operational discipline over user lifecycle, role assignments, and removal of departing personnel.
3. Customer data and intellectual property
All content uploaded, generated, or otherwise stored within a Tenant—including conversations, memos, agent role definitions, product topics, and prompt templates—is owned by the Customer. Cortex receives only a limited, revocable licence to host, process, and deliver that content as necessary to operate the Service.
Cortex does not use Customer data to train base models. Anthropic processes prompts and completions on a no-training basis under our enterprise terms. See the sub-processor list for the full data-flow diagram.
4. Subscriptions, billing, and taxes
Plans, prices, and limits are published at /pricing. Indian Customers are invoiced in INR with 18% GST (IGST for inter-state, CGST+SGST for Haryana) by Verdeshell Technologies Pvt Ltd. Customers outside India are invoiced in USD by the same entity, zero-rated for export of services. Failed payments enter a 7-day grace window, then read-only, then suspended, then closed.
Refunds and cancellation.Subscription fees already paid are non-refundable, except where required by applicable law. You may cancel at any time from Settings; cancellation stops future billing but the Service remains active for the remainder of the then-current paid period. We review refund requests for billing errors, duplicate charges, or exceptional circumstances on a case-by-case basis — contact legal@cortex.pleisys.com.
5. Acceptable use
You agree to the Acceptable Use Policy. Violations may result in immediate suspension and termination.
6. Termination and data retention
Either party may terminate by giving 30 days’ written notice. Customer-initiated closure enters a 30-day reversible grace window, after which an erasure cascade removes conversations, memos, synthesis sessions, agent context, finance-ledger records, and user account details from primary storage. Audit logs and invoices are retained for a minimum of 7 years to meet regulatory obligations under the Indian Companies Act and GST law.
7. Warranties and limitations
The Service is provided “as is” without warranty of any kind. AI outputs are probabilistic and may be incorrect; you must independently verify any output before acting on it. Cortex’s aggregate liability is capped at fees paid by the Customer in the 12 months preceding the claim.
8. Governing law
These Terms are governed by the laws of India. Disputes will be resolved in the courts of Gurgaon, Haryana. For Customers established in the EU/UK, the GDPR-compliant Data Processing Addendum takes precedence on data-protection matters.
9. Changes
We will notify you of material changes by email at least 30 days in advance. Your continued use after the effective date constitutes acceptance.
